Terms of Service
These Terms of Service ("Terms") govern your access to and use of the KeptPDF website and application at keptpdf.com (the "Service"), operated by KeptPDF ("we", "us"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
KeptPDF provides browser-based tools for working with PDF documents. All document processing happens locally in your browser; your file content is not transmitted to us. See our Privacy Policy for details on the limited account data we do collect.
2. Accounts
Some features require an account, which you access via a passwordless sign-in link sent to your email. You are responsible for maintaining access to your email account and for activity under your account. You must provide accurate information and be at least 16 years old (or the age of digital consent in your jurisdiction).
3. Plans, billing, and renewal
- Free plan is available at no cost, subject to daily usage limits.
- Pro and Practice are paid subscriptions billed monthly or annually. Practice is billed per seat.
- Paid subscriptions renew automatically at the then-current price each billing period until you cancel. Payments are processed by Stripe; by subscribing you authorize recurring charges to your payment method.
- We may change prices prospectively; we will give reasonable notice, and changes take effect on your next renewal. Applicable taxes may apply.
4. Cancellation and refunds
Cancel anytime, no traps. You can cancel from your billing portal at any time. Your plan stays active through the end of the period you've already paid for, and you will not be charged again.
30-day money-back guarantee. If your plan isn't right for you, email support@keptpdf.com within 30 days of your first payment and we'll refund that payment in full, no questions asked. This covers your initial Pro subscription, monthly or annual.
Apart from that guarantee, because the Service is delivered immediately and consumed incrementally, fees already paid are non-refundable except where required by law. If you believe you were charged in error, contact support@keptpdf.com and we'll make it right.
5. Acceptable use
You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access to our systems; interfere with or disrupt the Service; circumvent usage limits or licensing; resell or redistribute the Service without our written permission; or use the Service to violate the rights of others. You are solely responsible for the documents you process and for ensuring you have the right to process them.
6. Intellectual property
The Service, including its software, design, and content, is owned by KeptPDF and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain all rights to your own documents, which, by design, we never receive.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure.
You are responsible for verifying output. KeptPDF's tools (including redaction, metadata removal, and audit certificates) are provided as aids. Automated and assistive features (such as text detection, OCR, extraction, and classification) may produce incomplete, inaccurate, or unintended results. You should independently confirm that any redaction, scrubbing, signing, or other operation produced the result you intend before relying on or distributing a document. You are solely responsible for determining whether your use of the Service satisfies HIPAA, the GDPR, applicable state privacy laws, court rules, or any other regulatory or professional obligation that applies to you. We are not a law firm, accounting firm, healthcare provider, or compliance consultant, and nothing in the Service constitutes legal, tax, medical, or compliance advice.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEPTPDF AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL (INCLUDING, WITHOUT LIMITATION, REGULATORY FINES OR PENALTIES, BUSINESS INTERRUPTION, LITIGATION COSTS, OR THIRD-PARTY CLAIMS), ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR USD $100 IF YOU PAID NOTHING). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
9. Indemnification
You agree to indemnify and hold KeptPDF harmless from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Service or violation of these Terms.
10. Third-party services
The Service relies on third parties such as Stripe (payments) and our hosting and email providers. Your use of those services may be subject to their own terms and policies.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.
12. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Continued use after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the State of Tennessee, United States, without regard to its conflict-of-laws rules. Except for disputes subject to arbitration under Section 14, and except where applicable law provides otherwise, the state and federal courts located in Tennessee will have exclusive jurisdiction over disputes, and you and KeptPDF consent to personal jurisdiction and venue there. Section 14, including its incorporation of the Federal Arbitration Act, governs the resolution of any dispute that falls within it.
14. Dispute resolution; binding arbitration and class-action waiver
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. It requires that most disputes between you and KeptPDF be resolved by binding individual arbitration instead of in court, and it waives your right to a jury trial and to participate in a class or representative action. You may opt out within 30 days (see Section 14.8).
14.1 Talk to us first (informal resolution)
Before starting an arbitration or small-claims case, you agree to first try to resolve the dispute informally. Send a written Notice of Dispute to support@keptpdf.com describing the dispute and the relief you seek. You and KeptPDF will then have 60 days to reach a resolution in good faith. This step is a condition precedent to starting arbitration, and the applicable statute of limitations and any arbitration fee deadlines are tolled while it runs. If the dispute is not resolved within 60 days, either party may start arbitration.
14.2 Agreement to arbitrate
Except for the matters in Section 14.3, you and KeptPDF agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether arising before or after these Terms take effect) will be resolved exclusively by final and binding individual arbitration, and not in court. This agreement to arbitrate is governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.) and evidences a transaction involving interstate commerce. Arbitration is more informal than a lawsuit; an arbitrator can award the same individual relief a court could, and the arbitrator's decision can be entered as a judgment in any court of competent jurisdiction.
14.3 Exceptions
This Section 14 does not require arbitration of: (a) an individual claim brought in small-claims court, so long as it stays in that court and proceeds on an individual basis; and (b) a request for temporary injunctive relief to stop infringement or misuse of intellectual property. Either party may also ask a court to enforce this Section 14.
14.4 Class-action waiver
You and KeptPDF agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, private-attorney-general, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of a representative or class proceeding, except as part of the coordinated-filing process in Section 14.6.
14.5 How arbitration works
The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (and, where applicable, its Mass Arbitration Supplementary Rules), as modified by these Terms, available at adr.org. The arbitration will be conducted in the English language by a single arbitrator. For claims of $25,000 or less, the arbitration will be conducted by telephone, videoconference, or on written submissions only, unless the arbitrator decides an in-person hearing is needed; any in-person hearing will be held in the county of your residence or another mutually agreed location. Payment of all filing, administration, and arbitrator fees is governed by the AAA's rules and applicable consumer fee schedule; KeptPDF will pay or reimburse fees to the extent required by those rules or to the extent necessary for this Section 14 to be enforceable. The arbitrator's award will be in writing and will state the essential findings and conclusions.
14.6 Coordinated or mass filings
If 25 or more similar arbitration demands are filed against KeptPDF by or with the assistance of the same or coordinated counsel, the parties agree the claims will be administered under the AAA's Mass Arbitration Supplementary Rules using a staged batching process: a limited number of representative ("bellwether") cases proceed first, followed by a global mediation of the remaining claims, with the limitations periods and fee deadlines for all non-bellwether claimants tolled until their claim is reached. This process is intended to resolve large volumes of claims fairly and efficiently; it does not waive any individual claimant's right to an individual arbitration of their own claim.
14.7 Who decides what (delegation)
The arbitrator has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this agreement to arbitrate, including whether a claim is subject to arbitration. The one exception: a court, not an arbitrator, has exclusive authority to decide any dispute about the validity, enforceability, or scope of the class-action waiver in Section 14.4.
14.8 Your right to opt out
You may opt out of this Section 14 (arbitration and the class-action waiver) by emailing support@keptpdf.com with the subject line "Arbitration Opt-Out" and your account email within 30 days of the date you first accept these Terms (or first accept a version of these Terms containing this Section 14). Opting out will not affect any other part of these Terms or your use of the Service, and KeptPDF will not retaliate for an opt-out.
14.9 Severability and survival of this Section
If the class-action waiver in Section 14.4 is found unenforceable as to a particular claim or request for relief, then that specific claim or request will be severed and decided in court, while all other claims will still proceed in arbitration. If any other part of this Section 14 is found unenforceable, it will be severed and the rest of this Section 14 will remain in effect. This Section 14 survives termination of these Terms and your use of the Service. Any material future change to this Section 14 will not apply to a dispute for which a Notice of Dispute was already sent, and you will have a fresh opportunity to opt out of any material change as described in Section 14.8.
